The Clause Logic Service (CLS) is a web service designed to aid in the procurement process within the Department of Defense and other federal agencies. The primary function of this service is to allow for consistent inclusion of provisions and clauses into procurement documents. The goal of CLS is to improve the integrity of contracts developed by providing a centralized, web based, intelligent business logic clause-generating service.
CLS (using the Procurement Data Standard (PDS)) provides the functionality for procurement personnel to answer a standard set of questions and receive all provisions and clauses appropriate for that acquisition. Additionally, the system chooses provisions and clauses using a standard set of system logic rules for the current Federal Acquisition Regulation (FAR) and the Defense Federal Acquisition Regulation Supplement (DFARS) in accordance with local clause control rules per Procedures, Guidance, and Information (PGI) 201.301. The application provides the capability for procurement personnel to create, delete, and modify their specific contract documents to obtain a consistent set of provisions and clauses applicable to that particular contract action. The application provides an export capability for the users to save the results of their provisions and clauses in a Procurement Data Standard (PDS) compliant XML message that is sent to the agency’s contract writing system (CWS) for inclusion in their contract action.
The user interface allows a user to create new procurement documents, enter contract specific information, and retrieve a list of clauses applicable to the document. This provides direct user access to CLS. The Graphical User Interface of CLS is easy to use and navigates the user through the procurement document creation process. The user will answer questions about the procurement document and the rules engine will determine the appropriate provisions and/or clauses that are applicable. CLS will save a session that has been created for up to sixty (60) days.
Contract Writing Systems (CWS) will work with DLA Transaction Services to gain access to the CLS Application Programming Interface. CLS will allow a system to system communication with CWSs that will supply the CWS with the necessary clauses and provisions for inclusion in contracts. This will reduce the possibility of incorrect or missing clauses and provisions. It will also allow a seamless and automated approach to creating contracts. Once the contract is created, it can be stored in the CWS.
To enable increased efficiency, lower costs, and increase consistency and accuracy of clause selection in contracts, the CLS shall be implemented incrementally with selected contracted writing systems and be mandatory for all Defense agencies. Compliance with CLS will be routinely monitored.
